(“BARTA”)
The directors of BARTA intend to amend the objects clause in its Articles of Association. Our consultation exercise has already taken place and therefore this posting is advance notification of the steps BARTA intends to take following on from that exercise.
If you have any concerns or feedback we would be very happy to hear from you. However, it is our intention (subject of course to any such concerns or feedback received from our stakeholders) to hold the relevant meetings and pass the appropriate resolution to adopt the amended objects clause set out below within the next six weeks. The objects clause is the clause in the Articles of Association which identifies the purpose for which BARTA is set up and operated and describes its mission. As BARTA is a Community Interest Company, it requires the consent of its regulator to any such change to ensure that it continues to qualify for that status by the benefit it provides to the public. We will of course be seeking the appropriate consent for this change as referred to above.
The purpose of the intended change is to reflect the extent to which BARTA has become an established and authoritative voice and source of expertise and leadership in relation to rescue and trauma care of animals, and to define its mission clearly for the future. It is felt by the Directors of BARTA that the existing objects (which we set out below) are too narrowly expressed to encompass the mission BARTA is now capable of fulfilling and actively called upon to fulfill, and also that further clarification of its objects will enable BARTA to define that mission in a way that avoids confusion or distraction from those areas where it can most effectively deliver public benefit.
The current objects clause at Article 5 of the Articles of Association reads as follows:
“The objects of the Company are to carry on activities which benefit the community and in particular (without limitation) providing advice, direction, training and accreditation to agencies involved in the rescue and trauma care of animals in order to maintain the professional standards and competencies of all those involved with these activities.”
The proposed replacement clause is the following:
“The objects of the Company are to carry on activities which benefit the community and in particular (without limitation) to protect people (including public servants, animal welfare professionals and the public at large) and animals (including in particular horses and other large animals) from harm during emergencies and incidents involving animals by activities which include but are not limited to the following:
(a) The provision of guidance, training, and consultancy to a range of stakeholders
including
(i) emergency services organisations and personnel, (ii) national,devolved and local government organisations and agencies and their staff, (iii) veterinary surgeons and their staff, (iv) stewarding, welfare and safety staff at sports events which make use of animals, and (v) animal welfare workers, including those working or volunteering in other charities and community interest companies, to support and improve their professional standards and competencies;
(b) taking a leadership role in convening expertise to inform and develop best practice by means including organising and attending relevant conferences and events, maintaining liaison with experts and policy makers in relevant fields nationally and internationally and exchanging information and expertise with appropriate stakeholders;
(c) providing a reliable and authoritative information source for appropriate stakeholders on relevant techniques and practice and related subjects by way of online and printed publications and communications in all media; and
(d) Assessment and certification services in respect of the expertise of applicable individuals and organisations and the quality and appropriateness of applicable goods and services.
The directors of BARTA believe that this better describes the range of activities available to BARTA in order to deliver its services to its stakeholders and as a result the public benefit for which it operates.
